Terms of Service
These Terms govern your use of Vispae’s products and services. By ordering or using our services, you agree to these Terms.

1) Overview
Vispae (“we”, “us”) provides Telegram-first AI assistants and related analytics. “Customer” or “you” refers to the entity or individual using our services.
2) Services
We configure and deliver a branded AI Telegram assistant trained on your website, documents, and prompts (“Customer Materials”), plus weekly and on-demand analytics (included on Advanced/Enterprise; available as an add-on for Starter/Pro).
3) Setup & Delivery
After you submit an order and required inputs (e.g., bot username, training brief, links), we typically deliver within 3–5 business days. Timelines depend on completeness of inputs and scope.
4) Subscriptions & Billing
- Plans: Starter, Pro, Advanced, Enterprise.
- Pricing in USD. Prepay discounts: 4 months 5%, 6 months 8%, 12 months 10%.
- Analytics add-on: included on Advanced/Enterprise; optional for Starter/Pro (Starter $15/mo, Pro $10/mo).
- One “interaction” = one user message + one assistant reply.
5) Trials & Refunds
- Paid start, 24-hour comfort period: you begin on a paid plan. If you cancel within the first 24 hours, we refund 95% (we retain ~5% to cover non-recoverable processing costs).
- Within 48 hours: 80% refund of the payment.
- Within 7 days: 60% refund of the payment.
- No refunds after 7 days, or for custom development beyond the base service.
- Payment gateway / network fees are non-refundable. Limit: one refund per customer every 12 months.
6) Payments
We accept Crypto (TON, BTC, USDT, ETH), Payeer, WebMoney, and Telegram Stars. You’re responsible for network/transfer fees. We’ll send payment instructions after order confirmation. Access begins after payment confirmation is received.
7) Sales Assist (No Payment Processing)
The assistant acts as a sales assistant: answers questions, handles objections, recommends plans, and surfaces hot leads for your team. It does not process payments. Handoff occurs to your checkout or your team.
8) Customer Materials & License
You retain ownership of Customer Materials. You grant us a non-exclusive license to use them solely to configure, operate, and improve your assistant. You represent you have rights to provide these materials and that they do not violate law or third-party rights.
9) Acceptable Use
You will not use the services to violate law, infringe IP, harass or harm others, or distribute malware/spam. We may suspend service for suspected violations.
10) Data & Privacy
We handle data in accordance with our Privacy Policy. Conversations may be processed by AI providers to deliver the service and improve quality. Do not submit sensitive personal data.
11) Availability & Support
We aim for high availability and provide responsive support via Telegram. The service may be affected by third-party platforms and model providers.
12) Intellectual Property
We retain all rights in our platform, models, prompts, analytics, and tooling. Your brand assets and Customer Materials remain yours.
13) Disclaimers
The services are provided “as is”. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Output may be imperfect; you’re responsible for reviewing and deciding how to act on it.
14) Limitation of Liability
To the maximum extent permitted by law, our aggregate liability is limited to the amounts you paid in the three (3) months before the claim. We are not liable for indirect, special, incidental, consequential, or punitive damages.
15) Termination
Either party may terminate for convenience at the end of the current term, or for material breach if not cured within 10 days. Upon termination, access may be disabled and we may delete data in accordance with our policies.
16) Changes to Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date.
17) Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts of England and Wales for disputes arising out of or relating to these Terms or the services.
If you are a consumer in the EU/EEA or UK, this clause does not limit your mandatory protections under applicable consumer law, and you may bring claims in your local courts where required by law.
18) Miscellaneous
- Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in a merger/asset sale.
- Severability: If a clause is unenforceable, the rest remains in effect.
- Entire Agreement: These Terms plus any order form constitute the entire agreement.
- No Waiver: Failure to enforce a provision is not a waiver.
